Governança corporativa no século XXI: crises e paradigmas

A presente pesquisa consistirá em uma revisão da literatura científica produzida no Brasil e nos países mais desenvolvidos, sobre métodos de estudos e aplicações de políticas de inclusão social e de preservação ambiental na realidade da governança organizacional contemporânea. Será elaborada uma matriz de critérios lógicos e metodológicos quanto às abordagens de pesquisa existentes com vistas a organizar os principais conhecimentos e reflexões no referencial teórico do artigo e fundamentar um conjunto de problemas de pesquisa a serem tratados em outros estudos posteriores, pertencentes ao Programa de Estudos e Pesquisas em Desenvolvimento Humano, Formação de Lideranças Transformadoras e Governança Social (PEP-ROHM) da UFRJ.

Inglês Abstract:

Governance comprehends the “mechanisms or principles which govern decision making (…)” (MARQUES, 2007). It corresponds to one of the determining instruments for the sustainable development of companies in the economic, environmental and social dimensions (ANDRADE AND ROSSETTI, 2006). Traditionally, a strong tendency has been developed to conduct governance practices in a generic manner, without a thorough analysis of the organizational goals to be achieved according to the chosen model (HILB, 2008).

The present research consisted of a review of the scientific literature produced in Brazil and in the most developed countries, about study methods and applications of social inclusion and environmental preservation policies in the reality of contemporary organizational governance. A matrix of logical and methodological criteria was elaborated in order to organize the main reflections in the theoretical framework of the research as well as to find a set of research issues to be fostered in further studies, to be conducted by the Program of Studies and Research on Human Development, Transforming Leadership and Social Governance (PEP-ROHM) located in the Federal University of Rio de Janeiro – UFRJ.

The definitions and conceptual approaches of corporate social responsibility (CSR) and organizational governance – as they are addressed and realized – were discussed considering the advancements according to in the scientific review undertaken.

It has been also considered the current theoretical approaches to organizational governance, discussing a broad set of research papers, and a critical appraisal, establishing comparisons of the attributes of each of the different models. These could be assembled in the following categories: the stakeholder-oriented corporate model, the shareholder-oriented corporate model, public governance model and platform governance.

Finally, the challenges and opportunities of the current scenario of governance practices were identified, as well as their sociopolitical implications and impacts in contemporary Brazil.
